AngelList provides companies, employees, and investors with a web platform to manage their company, equity ownership and company documents (the "Stack Services").
I. INTRODUCTION
Capitalized terms used in these Stack Service Terms, but not defined herein have the meanings given to such terms in the General Terms. In the event of any conflict or inconsistency between these Stack Service Terms and the General Terms, the applicable terms of these Stack Service Terms will control with respect to your use of the Stack Service. In the event of any conflict or inconsistency between these Stack Service Terms and a written master service agreement between you and AngelList (a "Customer MSA") the applicable terms of the Customer MSA will control with respect to the services provided for therein.
In order to be enrolled in our rewards program, you must agree to the Stack Service Terms, the Banking Agreements and the Rewards Terms, which are available https://stack.angellist.com/terms/banking. In the event of any conflict between these Stack Service Terms and the Reward Terms, the provisions of the Stack Service Terms shall control. In the event of any conflict between the Banking Agreements and the Rewards Terms, the Banking Agreements shall control.
III. Roll Up Vehicle
Roll Up Vehicles ("RUVs") are special purpose vehicles that make an investment into a company. The RUV offering provides a way for founders to efficiently allow Investors (as defined in the Investing Platform Service Terms) into a financing round without incurring expensive legal fees or making the company’s cap table more complicated. Investors in the RUV offering are subject to the terms and conditions applicable to Investors under the Investing Platform Service Terms.
IV. Tie Out Assistant
AngelList's Tie Out Assistant uses AI to detect potential inconsistencies in cap tables. AngelList does not allow company data to be used for training on third-party systems.
V. STACK SERVICE FEES AND PAYMENT
We accept the following forms of payment: Credit Card and other methods to be specified in Invoices. You may be required to purchase or pay a fee to access some of our Stack Services. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Stack Service. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. We bill you through an online billing account for purchases made via the Stack Service. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. You agree to pay all charges or fees at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts upon making your purchase. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Stack Service.
VI. CANCELLATION
If you are on a subscription plan, you can cancel your subscription at any time by logging into your account or contacting us using the contact information provided below. Your cancellation will take effect at the end of the current paid term. If you are unsatisfied with our Stack Service, please email us at startups@angellist.com.
VII. SPECIAL LIMITATIONS FOR IRC SECTION 83(B) ELECTION ASSISTANCE SERVICE
As part of the Stack Service, we may provide you and your founders with assistance in electing to include the value of such restricted securities in their gross income for the year the securities are received as permitted by Section 83(b) of the Internal Revenue Code of 1986 (an “83(b) Election”). Because of the timing requirements for a valid 83(b) Election and the potential financial consequences for a failure to make a valid 83(b) Election under Internal Revenue Service regulations, the following terms apply to our Stack Service in relation to assistance with 83(b) Elections, without limiting any other terms set forth in these Stack Service Terms:
