Terms of Service

I. INTRODUCTION

The following Stack Service Terms of Service (these “Stack Service Terms”) modify and supplement our General Terms, the terms and conditions of which are hereby expressly incorporated by reference, and together with the General Terms, collectively governs your access and use of our Stack Service. Capitalized terms used in these Stack Service Terms, but not defined herein have the meanings given to such terms in the General Terms. In the event of any conflict or inconsistency between these Stack Service Terms and the General Terms, the applicable terms of these Stack Service Terms will control with respect to your use of the Stack Service.

II. BANKING SERVICES

Your use of the Stack Service banking services (“AngelList Banking Services”) is governed separately by the agreement(s) between you and Blue Ridge Bank N.A; Member FDIC (“Bank”), which can be accessed here. Any AngelList Banking Services are provided by the Bank, not us. By accessing or using the AngelList Banking Services, you agree to be bound to these Stack Service Terms and the Business Deposit Account Agreement and Business Debit Cardholder Agreement (“Banking Agreements”) which are available at https://stack.angellist.com/terms/banking. In the event of any conflict between these Stack Service Terms and the Banking Agreements, the Banking Agreements shall control.

In order to be enrolled in our rewards program, you must agree to the Stack Service Terms, the Banking Agreements and the Rewards Terms, which are available https://stack.angellist.com/terms/banking. In the event of any conflict between these Stack Service Terms and the Reward Terms, the provisions of the Stack Service Terms shall control. In the event of any conflict between the Banking Agreements and the Rewards Terms, the Banking Agreements shall control.

AngelList is a financial technology company and is not a bank. AngelList Banking services provided by Blue Ridge Bank, N.A.; Member FDIC. The AngelList Business Visa® Debit Card is issued by Blue Ridge Bank, N.A. pursuant to a license from Visa U.S.A. Inc. and may be used everywhere Visa debit cards are accepted.

III. Roll Up Vehicle

Roll Up Vehicles ("RUVs") are special purpose vehicles that make an investment into a company. The RUV offering provides a way for founders to efficiently allow Investors (as defined in the Investing Platform Service Terms) into a financing round without incurring expensive legal fees or making the company’s cap table more complicated. Investors in the RUV offering are subject to the terms and conditions applicable to Investors under the Investing Platform Service Terms.

IV. Tie Out Assistant

AngelList's Tie Out Assistant uses AI to detect potential inconsistencies in cap tables. AngelList does not allow company data to be used for training on third-party systems.

V. STACK SERVICE FEES AND PAYMENT

We accept the following forms of payment: Credit Card and other methods to be specified in Invoices. You may be required to purchase or pay a fee to access some of our Stack Services. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Stack Service. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. We bill you through an online billing account for purchases made via the Stack Service. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. You agree to pay all charges or fees at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts upon making your purchase. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Stack Service.

VI. CANCELLATION

If you are on a subscription plan, you can cancel your subscription at any time by logging into your account or contacting us using the contact information provided below. Your cancellation will take effect at the end of the current paid term. If you are unsatisfied with our Stack Service, please email us at startups@angellist.com.

VII. SPECIAL LIMITATIONS FOR IRC SECTION 83(B) ELECTION ASSISTANCE SERVICE

As part of the Stack Service, we may provide you and your founders with assistance in electing to include the value of such restricted securities in their gross income for the year the securities are received as permitted by Section 83(b) of the Internal Revenue Code of 1986 (an “83(b) Election”). Because of the timing requirements for a valid 83(b) Election and the potential financial consequences for a failure to make a valid 83(b) Election under Internal Revenue Service regulations, the following terms apply to our Stack Service in relation to assistance with 83(b) Elections, without limiting any other terms set forth in these Stack Service Terms:

• As a condition to receiving our Stack Service in relation to assistance with an 83(b) Election, any founder or other person for whom we provide 83(b) Election assistance agrees to these Stack Service Terms in their entirety, including all DISCLAIMERS and LIMITATIONS OF LIABILITY included herein and in the General Terms, and is deemed a User in accordance with these Stack Services Terms, for all purposes, except that such founder or other person may not terminate your participation in the Stack Service. If any founder or other person does not agree to these Stack Service Terms in their entirety, that individual should find alternatives to our Stack Service in relation to assistance with an 83(b) Election.
• AngelList will not be responsible for any failure of you, any founder or other persons seeking our assistance in making an 83(b) Election to strictly follow the timing requirements set forth in the Stack Service for providing us with all information that is required to make an 83(b) Election and a validly executed 83(b) Election form.
• User is solely responsible for the accuracy of the information included in the 83(b) Election form. AngelList is not responsible for any loss resulting from the provision of inaccurate information in the 83(b) Election form.
• AngelList is not responsible for any failure of the US Postal Service or other delivery service to deliver a timely mailed 83(b) Election to the appropriate Internal Revenue Service office.
• AngelList is not responsible for verifying that confirmation of receipt of the 83(b) Election has been returned to you, the founder or other person.

Each individual that uses any of our Stack Services in relation to assistance with an 83(b) Election hereby irrevocably releases us in respect of any claim that (a) such individual did not agree to these Stack Service Terms and General Terms; (b) results from such individual not following the timing requirements set forth in the Stack Service for providing us with all information that is required to make an 83(b) Election and a validly executed 83(b) Election form; (c) results from any inaccurate information in the 83(b) Election form; (d) results from any delay or failure to deliver the 83(b) Election form by the US Postal Service or other delivery service; or (e) the receipt of the 83(b) Election has been returned to the appropriate individual.
